Mid-Level Corporate Associate - Emerging Companies & Venture Capital

Direct Counsel is seeking a mid-level Corporate Associate to join a well-regarded firm with a strong corporate practice. The ideal candidate will have 4-6 years of experience advising companies and investors in emerging companies and venture capital transactions, as well as a solid foundation in general corporate and M&A matters.

Key Responsibilities:

• Advise startup and growth-stage companies on corporate formation, governance, and capitalization.
• Lead venture financing transactions, including convertible notes, SAFEs, Series Seed, and Series A/B equity financings.
• Draft, review, and negotiate stock purchase agreements, commercial contracts, and licensing agreements.
• Manage M&A transactions from initial structuring through closing, including strategic and private equity-backed deals.
• Provide direct client communication and serve as point-of-contact for founder and investor clients.
• Mentor junior associates and oversee deal management responsibilities.

Qualifications:

• JD from an accredited law school, admitted to practice in at least one U.S. jurisdiction (Washington admission or eligibility for reciprocity preferred).
• 4-6 years of law firm experience with a focus on emerging companies, venture capital, and M&A transactions.
• Strong drafting, negotiation, and organizational skills with the ability to run transactions independently.
• Prior large law firm training a plus; boutique or mid-sized firm experience with hands-on client exposure also valued.

Compensation:

• Competitive compensation in the range of $150,000 - $200,000 , commensurate with experience, plus benefits.
